These terms govern the use of the Verseta website and the professional service engagements entered into between Verseta and our valued commercial clients.

1. Acceptance of Terms

By accessing or browsing this website (https://verseta.in), or by approving a formal project proposal or statement of work issued by Verseta, you agree to comply with and be bound by these Terms of Service.

2. Scope of Services

Verseta provides professional technology, design, and digital consulting services including custom website development, e-commerce engineering, content management systems, digital marketing, learning platforms, custom software, and cloud infrastructure.

Specific deliverables, timelines, milestone schedules, and project specifications are documented in mutually agreed Statements of Work (SOW) or written project proposals.

3. Intellectual Property Ownership

Client Ownership: Upon full and final settlement of agreed project fees, all bespoke code, custom designs, frontend layouts, and branding assets developed specifically for your project become your exclusive intellectual property.

Pre-existing tools, open-source libraries (e.g., WordPress, React, Node packages), and generalized utility frameworks remain subject to their respective open-source licenses.

4. Project Estimates & Milestone Billing

All project estimates are transparently outlined prior to commencement. Fixed-price contracts are structured into predefined milestone deliverables. Revisions outside the agreed functional scope are evaluated mutually as scope amendments.

5. Client Responsibilities

Successful project delivery relies on collaborative partnership. Clients agree to provide timely functional feedback, content materials, product assets, and third-party access credentials (e.g., domain DNS, server hosting) necessary for project progression.

6. Warranties & Limitation of Liability

Verseta guarantees that all software and websites developed will operate in substantial conformity with agreed specifications upon launch. We provide a post-launch warranty period for defect remediation as defined in your contract.

In no event shall Verseta be liable for indirect, incidental, or consequential damages resulting from third-party server downtime, cyber-attacks, or unauthorized modifications made by third parties.

7. Governing Law & Jurisdiction

These terms and all commercial service engagements shall be governed by and interpreted in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in India.
